boot stops at Applying Intel IA32 Microcode update

Upgraded to kernel-2.4.21-32.0.1.EL.i686.rpm and kernel-smp-2.4.21-32.0.1.EL.i686.rpm from kernel-smp-2.4.21-20.EL.i686.rpm.
The server is a PowerEdge 6650 with 4 GB of memory and 4 cpu's. It has an emulex Fibre optic card and runs PowerPath.
Once I upgraded it would stop booting at "Applying Intel IA32 Microcode update" with the smp kernel. I then tried the single cpu kernel and it did boot. I added the emulex modules and powerpath modules. It did boot up afterwards and then it stopped after a day. It would complain at the same place in the bootup process.
Trying to trooubleshoot this I can boot using init=/bain/bash. I have tried going back to the older kernel and it fails at the same place.

Can someone shed any light?
Would a bios upgrade fix this?
Could it a bad cpu?
