Optiplex GX320 Freezing at Grub

I am trying to install a custom version of Linux on an Optiplex 320.  
The version works on other Dell products.   The software installs, but 
upon reboot, the grub loader appears and after selecting the boot 
kernel, the system freezes with the following ouput:

kernel /boot/bzImage-2.6.21.1-20070510 init=/first-time.sh ip=off 
root=0802 rootdelay=5 quiet
    [Linux-bzImage, setup=0x1400 size=0x38a890]
_ (blinking)

I have tried the 2.6.19 and 2.6.20 kernels as well with no success. We 
are using version 0.97 of Grub.  From other post, I see that LILO works, 
however this is not an option in my case.  Has anyone been able to get 
Grub to work with this system?
